Terms of Service

The agreement between you and Orjar Technology Ventures when you use Orjar Finance.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Orjar Technology Ventures ("Orjar", "we", "us", or "our") governing your access to and use of Orjar Finance, including our website, applications, APIs, and related services (the "Service").

By registering for an account, accessing, or using the Service, you confirm that you are at least eighteen (18) years old, have legal capacity to contract under the laws of Federal Republic of Nigeria, and agree to these Terms and our Privacy Policy and Data Policy.

If you do not agree, you must not use the Service.

2. Definitions

  • "Plan Mode" — budgeting and financial planning features using hypothetical or manually entered figures; no real money movement through Orjar.
  • "Live Mode" — features that connect to regulated banking infrastructure to hold, receive, and transfer real naira after successful identity verification.
  • "Banking Partner" — Anchor Microfinance Bank, licensed by the Central Bank of Nigeria (CBN), which provides deposit and payment services in Live Mode.
  • "User", "you" — any individual who registers for or uses the Service.
  • "Wallet" — your Live Mode deposit account and associated virtual account facilities provided through the Banking Partner.

3. Description of Service

Orjar Finance is a personal finance platform designed for Nigerian users. The Service includes, without limitation, monthly budgeting, income allocation, expense logging, savings jars, investment tracking, and Live Mode wallet services where activated.

Orjar is a technology platform. Except where expressly stated, we do not provide investment advice, tax advice, or legal advice. Content in the app is for informational purposes only.

  • Monthly budgeting, income allocation, and bucket management.
  • Expense logging, grocery lists, and spending analytics.
  • Savings jars (individual and group), rent planning, and target savings.
  • Investment and Treasury Bill (T-bill) tracking.
  • Credit and debt management tools in Plan Mode.
  • Rule-based financial insights and educational content.
  • Live Mode wallet, virtual account, bank transfers, bill payments, and auto-split income (where available).

4. Plan Mode and Live Mode

Plan Mode is available without Live Mode activation. Figures you enter in Plan Mode are for planning purposes and do not represent actual bank balances unless you choose to mirror Live Mode data.

Live Mode requires completion of identity verification (KYC) in accordance with CBN regulations. Activation is subject to approval by Orjar and the Banking Partner.

You acknowledge that switching to Live Mode introduces real financial risk. You are solely responsible for transfers you initiate and for maintaining sufficient balances.

We may offer, modify, or discontinue features in either mode with reasonable notice where practicable.

5. Account Registration and Security

You must provide accurate, current, and complete information during registration and keep your profile updated.

You are responsible for safeguarding your password, MFA devices, transaction PIN, and any credentials used to access the Service.

You must notify us immediately at hello@orjar.app if you suspect unauthorised access to your account.

We may suspend accounts with inaccurate KYC information, suspected fraud, or breach of these Terms.

6. Identity Verification and CBN Compliance

Live Mode is subject to tiered KYC requirements prescribed by the CBN. You agree to provide truthful identity documents and cooperate with verification, liveness checks, and periodic re-verification requests.

False, misleading, or forged identity information constitutes a material breach and may be reported to relevant authorities under the Money Laundering (Prevention and Prohibition) Act 2022 and related AML/CFT laws.

Transaction limits apply based on your verified KYC tier. Limits may change pursuant to regulatory updates.

7. User Responsibilities

  • Use the Service only for lawful personal finance purposes.
  • Ensure budget allocations and financial records you maintain reflect your intentions.
  • Review transaction confirmations and wallet activity promptly.
  • Comply with all applicable Nigerian laws, including tax obligations on income and investment returns.
  • Not use the Service on behalf of third parties unless expressly authorised (e.g. group savings jar administrators).

8. Prohibited Activities

You must not:

  • Engage in fraud, money laundering, terrorist financing, or sanctions evasion.
  • Use the Service for pyramid schemes, unlicensed lending, or illegal gambling.
  • Impersonate another person or misrepresent your identity or affiliation.
  • Reverse engineer, scrape, or interfere with the Service or its security measures.
  • Upload malware, spam, or content that infringes intellectual property or privacy rights.
  • Circumvent transaction limits, KYC controls, or geographic restrictions.
  • Use automated bots to access the Service except via authorised APIs.

9. Fees and Charges

Core Plan Mode features are currently provided free of charge unless otherwise stated in the app.

Live Mode may attract fees for transfers, bill payments, or premium features. Applicable fees are disclosed before you confirm a transaction.

The Banking Partner may impose its own charges in accordance with its schedule of fees and CBN guidelines.

We reserve the right to introduce or change fees with prior notice through the app or email.

10. Intellectual Property

All intellectual property in the Service — including software, design, trademarks, logos, and content — is owned by Orjar Technology Ventures or its licensors.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal, non-commercial purposes in accordance with these Terms.

You may not copy, modify, distribute, sell, or create derivative works from the Service without our prior written consent.

11. User Content and Feedback

You retain ownership of financial data and content you input. You grant us a licence to host, process, and display such content solely to provide and improve the Service.

Feedback and suggestions you submit may be used by us without obligation to compensate you.

12. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by Nigerian law.

We do not warrant that the Service will be uninterrupted, error-free, or free of security vulnerabilities.

Budget projections, advisory insights, and calculators are estimates only and do not guarantee financial outcomes.

Nothing in these Terms excludes warranties that cannot be excluded under the Federal Competition and Consumer Protection Act 2018 (FCCPA) or other mandatory law.

13. Limitation of Liability

To the maximum extent permitted by law, Orjar Technology Ventures shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service.

Our aggregate liability for claims arising from the Service shall not exceed the greater of (a) fees paid by you to Orjar in the twelve (12) months preceding the claim, or (b) ten thousand naira (₦10,000), except where liability cannot be limited under applicable law.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

14. Banking Services and Anchor Partnership

Live Mode deposit accounts, payment processing, and virtual account services are provided by Anchor Microfinance Bank, a CBN-licensed microfinance bank.

Orjar Technology Ventures is not a bank, microfinance bank, or payment service bank. We act as a technology partner facilitating access to the Banking Partner's regulated services.

Your relationship with the Banking Partner is governed by its account terms, CBN regulations, and applicable banking law, in addition to these Terms.

We are not responsible for delays, failures, or errors attributable solely to the Banking Partner, payment networks, or third-party financial institutions, except where caused by our negligence.

15. Deposit Insurance (NDIC)

Eligible deposits held with Anchor Microfinance Bank may be protected by the Nigeria Deposit Insurance Corporation (NDIC) subject to NDIC Act provisions, coverage limits, and insurability rules in force from time to time.

Insurance coverage applies to the deposit account with the Banking Partner, not to hypothetical Plan Mode figures or non-deposit products tracked in the app.

For current NDIC coverage limits and conditions, refer to NDIC publications or the Banking Partner's disclosures.

16. Anti-Money Laundering and Sanctions

We and the Banking Partner monitor transactions for suspicious activity in compliance with AML/CFT laws and CBN directives.

We may block, delay, freeze, or report transactions and cooperate with the Economic and Financial Crimes Commission (EFCC), Nigerian Financial Intelligence Unit (NFIU), and other authorities without prior notice to you where required by law.

17. Complaints and Dispute Resolution

For service complaints, contact hello@orjar.app or use in-app support. We aim to acknowledge complaints within forty-eight (48) hours and resolve them within timelines consistent with the CBN Consumer Protection Framework.

Banking-related complaints concerning deposit accounts may also be directed to Anchor Microfinance Bank and, where unresolved, to the CBN Consumer Protection Department.

These Terms are governed by the laws of the Federal Republic of Nigeria. Parties submit to the exclusive jurisdiction of Nigerian courts, without prejudice to mandatory consumer rights under the FCCPA.

18. Suspension and Termination

You may close your account at any time through Settings or by contacting support, subject to settlement of outstanding Live Mode balances and legal retention requirements.

We may suspend or terminate your access immediately for breach of these Terms, suspected fraud, regulatory direction, or extended inactivity.

Provisions that by nature should survive termination — including intellectual property, liability limits, governing law, and data retention — shall survive.

19. Changes to Terms

We may amend these Terms to reflect legal, regulatory, or product changes. We will notify you of material changes via the app, email, or website notice.

Continued use after the effective date of updated Terms constitutes acceptance. If you do not agree, you must stop using the Service and close your account.
